Terms of Service

By accessing or using the Novion application ("App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our App.
1. Interpretation and Definitions
1.1 Interpretation
Capitalized terms have the meanings assigned to them in this document. These definitions shall have the same meaning regardless of whether they appear in singular or plural form.
1.2 Definitions
For the purposes of these Terms of Service:
- Account means the unique profile created for you to access the Service.
- App or Application means the Novion mobile application and website.
- Company (referred to as "Novion," "we," "us," or "our") refers to Novion.
- Content means any text, images, videos, audio, or other materials uploaded or shared through the Service.
- Program means a fitness or wellness program created and sold by a Star on the platform.
- Service means the Novion application, website, and all related services.
- Star means a fitness creator who has been approved to publish content on the Novion platform.
- Subscription means a recurring payment plan for premium access to the Service.
- User or You means the individual accessing or using the Service.
2. Description of Service
2.1 Platform Overview
Novion provides a comprehensive fitness and Star economy platform that allows users to access premium fitness content, track workouts, monitor nutrition, and participate in our Star revenue sharing program. Our platform connects fitness Stars with users through subscription and individual program purchases.
2.2 Star Economy Features
Revenue sharing, performance bonuses, and Star monetization tools are available to qualified fitness professionals who meet our Star standards and verification requirements.
2.3 Subscriptions & Auto-Renewal
Novion offers auto-renewing subscription plans:
- Pro — $9.99 per month
- Elite — $14.99 per month
Billing Terms:
- Subscriptions (Pro and Elite) are purchased as in-app purchases through the Apple App Store (iOS) or Google Play Store (Android).
- Charges will appear on your Apple ID or Google Play account, not as a direct credit card charge from Novion.
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
- You will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
Free Trial:
- A 7-day free trial may be available for new subscribers, managed by Apple or Google.
- Any unused portion of a free trial will be forfeited when you purchase a subscription.
- Only one free trial per Apple ID or Google account.
Managing Your Subscription:
- iOS: Go to Settings → [Your Name] → Subscriptions → Novion
- Android: Go to Google Play Store → Menu → Subscriptions → Novion
- You cannot cancel subscriptions through the Novion app or website — cancellation must be done through Apple or Google.
Refunds:
- Refund requests for subscriptions must be submitted directly to Apple or Google according to their respective refund policies.
- Novion does not process subscription refunds directly.
Account Deletion:
- IMPORTANT: Deleting your Novion account does NOT automatically cancel your App Store or Google Play subscription. You must cancel your subscription separately through your device settings before deleting your account to avoid continued billing.
Note: One-time purchases of programs and meal plans on the Novion website are processed separately via Stripe and are subject to Novion's refund policy. For web purchase inquiries, contact support@novionapp.com.
2.4 Coaching Subscriptions
Novion offers coaching subscription plans for Stars who wish to offer personalized coaching services to clients through the platform. Coaching subscriptions are separate from and in addition to the Pro/Elite user subscriptions described in Section 2.3.
Coaching Tiers:
- Elite Basic — $14.99 per month (up to 5 coaching clients)
- Elite Plus — $39.99 per month (up to 20 coaching clients)
- Elite Unlimited — $74.99 per month (unlimited coaching clients)
Annual Pricing:
- Elite Basic — $119.99 per year (save ~$60 vs. monthly)
- Elite Plus — $319.99 per year (save ~$160 vs. monthly)
- Elite Unlimited — $599.99 per year (save ~$300 vs. monthly)
Annual plans are billed as a single charge for a 12-month period and renew annually unless canceled at least 24 hours before the renewal date.
Dual Billing System:
- Elite Basic: Billed as an in-app purchase through the Apple App Store (iOS) or Google Play Store (Android). Managed and canceled through your device's subscription settings.
- Elite Plus and Elite Unlimited: Billed directly by Novion via Stripe. Managed and canceled through the Novion website at novionapp.com/pricing/coaching.
Client Limits:
- Each coaching tier includes a maximum number of active coaching clients as specified above.
- If you reach your tier's client limit, you will be unable to accept new clients until you upgrade to a higher tier or an existing client relationship ends.
- Downgrading to a lower tier does not automatically terminate existing client relationships that exceed the lower tier's limit, but you will be unable to accept new clients until your active client count is within the new tier's limit.
2.5 Coaching Subscription Cancellation
Cancellation Process:
- Elite Basic: Cancel through your Apple App Store or Google Play Store subscription settings.
- Elite Plus / Elite Unlimited: Cancel through the Novion website at novionapp.com/pricing/coaching.
Effect of Cancellation:
- When you cancel a coaching subscription, your access continues until the end of your current billing period. No partial refunds or prorated credits are provided.
- At the end of the billing period, your coaching features will be deactivated and you will no longer be able to accept or manage coaching clients through the platform.
- Active client relationships are terminated when your coaching subscription expires. Clients will no longer have access to coaching features associated with your account.
Coach Obligations on Cancellation:
- You are responsible for notifying your active coaching clients of your cancellation before your billing period ends.
- Novion does not automatically notify your clients of your cancellation.
- You should provide your clients with reasonable notice and, where appropriate, assist them in transitioning to another coach on the platform.
Coaching Data After Cancellation:
- After your coaching subscription expires, you will lose access to client progress data, coaching session records, and other coaching-related information.
- Clients retain their own fitness and health data in their personal accounts.
- Coaching interaction records are retained by Novion for a period of 90 days after cancellation for dispute resolution purposes, after which they are deleted.
Important: If you previously canceled an App Store or Google Play subscription to avoid double billing when upgrading to Elite Plus or Unlimited, canceling your coaching subscription means you will lose Elite access entirely unless you reactivate your App Store or Google Play subscription.
3. User Accounts & Age Restrictions
3.1 Age Requirements
IMPORTANT: Users must be 13 years or older to create an account. Users under 18 require parental consent and supervision. The platform reserves the right to verify age and request documentation.
3.2 Account Responsibilities
To use certain features of our App, you must register for an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
3.3 Accurate Information
You agree to provide accurate and complete information when creating your account and to update your information to keep it accurate and current.
4. User Content
4.1 Ownership
You retain all rights to the content you provide through our App. Nothing in these Terms transfers ownership of your content to Novion.
4.2 License Grant — General Users
By submitting content to the Service (including but not limited to profile information, reviews, ratings, comments, and other user-generated content), you grant Novion a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute such content in connection with providing, promoting, and improving the Service. This license continues for the duration your content remains on the platform, plus a commercially reasonable period for technical removal.
4.3 License Grant — Star Content
By publishing programs or other content as a Star on the Novion platform, you grant Novion a worldwide, non-exclusive, royalty-free license to:
- Reproduce, display, distribute, and publicly perform your content through the Novion platform, including web and mobile applications
- Sublicense your content to end-users who purchase your programs, limited to personal, non-commercial use as described in Section 4.4
- Modify, adapt, reformat, compress, and create thumbnails, excerpts, and previews as necessary for platform delivery across different devices, screen sizes, and formats
- Cache, store, and distribute your content through content delivery networks and cloud infrastructure
- Use your program titles, descriptions, thumbnails, and limited content excerpts for marketing and promotional purposes on the Novion platform and affiliated marketing channels
- Collect, analyze, and use anonymized usage data and metadata derived from your content to improve platform services and generate aggregated insights
Stars who publish content through the Novion marketplace are also subject to the terms of the Novion Star Program Agreement, which contains additional licensing terms.
4.4 Purchaser License
When you purchase a program through the Novion marketplace, you receive a non-exclusive, non-transferable, revocable license to access and use the program content solely for your personal, non-commercial fitness and wellness purposes. You may not:
- Redistribute, sublicense, or resell program content
- Publicly perform, broadcast, or stream program content
- Record, download, or copy program content except as expressly permitted by the platform
- Use program content to create competing products or services
Your access to purchased programs survives a Star's termination from the platform, as described in Section 8.4.
4.5 Content Removal
You may request removal of your content from the platform at any time. Upon such request:
- Novion will remove your content within a commercially reasonable timeframe, though cached or archived copies may take additional time to be fully purged from all systems
- Previously purchased program content will remain accessible to users who completed a purchase prior to removal, as those users hold a valid purchaser license under Section 4.4
- Novion may retain content as reasonably necessary for legal compliance, financial record-keeping, dispute resolution, and enforcement of these Terms
5. Prohibited Activities
You agree not to:
- Use our App for any illegal purpose
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of our App
- Attempt to gain unauthorized access to our App or related systems
- Impersonate any person or entity
6. Community Guidelines & User Conduct
Novion is committed to maintaining a safe, supportive, and inclusive community for all users. When interacting with other users on our platform, you agree to abide by the following community guidelines.
6.1 Prohibited Conduct
You agree NOT to:
- Harass, bully, intimidate, or threaten other users
- Post content that is hateful, discriminatory, or promotes violence based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
- Share others' personal information without their consent (doxxing)
- Engage in body shaming, appearance-based harassment, or diet shaming
- Send unsolicited messages of a sexual or inappropriate nature
- Encourage self-harm, disordered eating, or dangerous fitness practices
- Create fake accounts to evade blocks, bans, or moderation actions
- Stalk or persistently contact users who have asked you to stop
- Post content depicting or promoting violence, self-harm, or illegal activities
6.2 Reporting Violations
If you experience or witness harassment, bullying, or any violation of these community guidelines, please report it to novionapp+safety@gmail.com. Include:
- Your account information
- The username of the person you are reporting
- A description of the incident
- Screenshots or other evidence if available
We investigate all reports and may take action including warning, temporary suspension, or permanent termination of accounts that violate these guidelines.
6.3 Platform Responsibility
While we strive to maintain a safe community, we cannot monitor all user interactions in real-time. Users are responsible for their own conduct and the content they share. Novion is not responsible for user-generated content or interactions between users, but we will take action when violations are reported.
6.4 Blocking and Muting
You have the ability to block or mute other users to control your experience on the platform. We encourage you to use these tools to manage unwanted interactions.
7. Ratings and Reviews
7.1 Rating Eligibility
- You must have purchased a program to rate that specific program
- You must be an authenticated user to rate Stars
- One rating per user per Star/program
- Ratings cannot be submitted for your own content
7.2 Prohibited Rating Activity
You agree NOT to:
- Submit false, misleading, or fraudulent ratings
- Rate content you have not personally used or experienced
- Create multiple accounts to manipulate ratings
- Offer incentives (monetary or otherwise) for positive ratings
- Threaten or coerce users to change their ratings
- Submit ratings that violate our community guidelines
7.3 Rating Content Guidelines
Written reviews must:
- Be relevant to the Star or program being reviewed
- Not contain profanity, hate speech, or personal attacks
- Not include advertising, spam, or promotional content
- Not reveal personal information about the Star or other users
- Comply with all applicable laws and regulations
7.4 Consequences for Violations
Violations of rating policies may result in:
- Rating removal without notice
- Loss of rating privileges
- Account suspension or termination
- Legal action for fraudulent activity
7.5 Star Rating Disclosure
Stars acknowledge that:
- User ratings are publicly visible
- Low ratings may result in automatic moderation actions
- Average ratings below 2.0 (10+ ratings) may trigger suspension
- Average ratings below 1.5 (20+ ratings) may trigger permanent ban
- Moderation actions are final but may be appealed
8. Star Account Moderation
8.1 Quality Standards
Novion maintains quality standards through user ratings and automated moderation systems. Star accounts must maintain a minimum average rating to remain active on the platform.
8.2 Automatic Moderation
Star accounts are subject to automatic moderation based on the following criteria:
- Temporary Suspension (14 days): Average rating below 2.0 stars with 10 or more user ratings
- Permanent Termination: Average rating below 1.5 stars with 20 or more user ratings
8.3 Manual Moderation
Platform administrators may suspend or terminate Star accounts at any time for:
- Policy violations
- Fraudulent activity
- Consistently low quality content
- User safety concerns
- Legal or regulatory compliance
8.4 Effect of Moderation
When a Star account is suspended or terminated:
- All programs are immediately unpublished
- No new program purchases are permitted
- Existing users who purchased programs retain access
- Revenue sharing continues for completed sales
- Star profile is hidden from discovery
8.5 Appeals
Stars may appeal moderation decisions by contacting support@novionapp.com within 30 days. Include:
- Account information
- Explanation of circumstances
- Supporting documentation
- Steps taken to address quality concerns
Appeals are reviewed within 5-7 business days. Decisions on appeals are final.
8.6 Reactivation
Suspended accounts may be reactivated if:
- Suspension period has expired
- Rating improves above 2.5 stars
- Star addresses all quality concerns
- Platform administrators approve reactivation
Banned accounts cannot be reactivated. Stars may create new accounts subject to platform approval.
9. Termination
We reserve the right to suspend or terminate your access to our App at any time for any reason, including violation of these Terms of Service.
10. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR APP.
12. Health & Fitness Disclaimer
IMPORTANT HEALTH & FITNESS DISCLAIMER: This platform provides fitness content for informational and educational purposes only. The following important considerations apply to all users:
- Medical Consultation Required: Always consult your physician before starting any exercise or nutrition program.
- Age Restrictions: Users must be 13+ years old to access fitness content and create accounts. Users under 18 require parental supervision and consent.
- Safety First: Stop exercising immediately if you experience pain, dizziness, shortness of breath, or any discomfort during workouts.
- Individual Results: Individual results may vary significantly. Consult healthcare professionals for personalized medical advice.
- No Medical Treatment: Content is not intended to diagnose, treat, cure, or prevent any medical condition or disease.
- Liability Limitation: Platform operators and Stars are not liable for injuries, health issues, or adverse effects arising from content use.
- Pre-existing Conditions: Users with pre-existing medical conditions, injuries, or health concerns must obtain medical clearance before participation.
- Pregnancy & Special Conditions: Pregnant women, individuals with heart conditions, diabetes, or other medical conditions require specific medical approval.
- Professional Guidance: For serious fitness goals or health concerns, seek guidance from certified fitness professionals and healthcare providers.
- Emergency Situations: In case of injury or medical emergency during exercise, seek immediate medical attention.
13. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
13.1 Agreement to Arbitrate
You and Novion agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the App (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that either party may bring individual claims in small claims court if they qualify.
13.2 Arbitration Rules
Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org or by calling 1-800-778-7879. You and Novion agree that these Terms affect interstate commerce, so the Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
13.3 Arbitration Location
Arbitration will take place in the State of North Carolina, unless you and Novion agree to another location or to telephonic/video arbitration.
13.4 Arbitration Fees
If you initiate arbitration, you will pay the filing fee required by AAA (currently $200 for consumer claims). If you are unable to afford this fee, Novion will advance it on your behalf. Each party is responsible for their own attorneys' fees unless the arbitrator awards fees to the prevailing party.
13.5 Small Claims Court
Either party may bring qualifying claims in small claims court in the State of North Carolina or your county of residence.
13.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to novionapp+legal@gmail.com within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of North Carolina.
14. Class Action Waiver
YOU AND NOVION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Unless both you and Novion agree otherwise in writing, any arbitration or court proceeding will be conducted only on an individual basis and not in a class, collective, consolidated, or representative proceeding.
If any court or arbitrator determines that the class action waiver in this section is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision shall be deemed null and void, and the parties shall be deemed to have not agreed to arbitrate disputes.
15. Indemnification
You agree to indemnify, defend, and hold harmless Novion, its parent company, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use or misuse of the App
- Any content you submit, post, or transmit through the App
- Your violation of any law or the rights of any third party
- Any fitness activities or health decisions you make based on content accessed through the App
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.
16. Intellectual Property
16.1 Novion's Intellectual Property
The App, including all content, features, functionality, software, text, graphics, logos, icons, images, audio, video, and data compilations, is owned by Novion or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
16.2 Limited License
Subject to your compliance with these Terms, Novion grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your personal, non-commercial fitness and nutrition tracking purposes.
16.3 Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of the App
- Reverse engineer, decompile, or attempt to extract the source code of the App
- Use any automated system (bots, scrapers, crawlers) to access the App
- Remove or alter any copyright, trademark, or proprietary notices
- Use the App to create a competing product or service
- Record, download, or redistribute Star content without authorization
16.4 Trademarks
"Novion," the Novion logo, and other Novion marks are trademarks of Novion. You may not use these marks without our prior written permission.
16.5 DMCA Notice & Copyright Infringement
Novion respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the App infringes your copyright, please send a written notice to our designated DMCA agent:

Your DMCA notice must include:
- Identification of the copyrighted work you claim has been infringed
- Identification of the material that is claimed to be infringing, with sufficient information for us to locate the material on the App
- Your contact information (name, address, telephone number, and email address)
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf
- Your physical or electronic signature
Upon receipt of a valid DMCA notice, Novion will promptly remove or disable access to the allegedly infringing material and notify the content provider. Counter-notices may be submitted in accordance with the DMCA.
17. Changes to Terms
We may modify these Terms of Service at any time. The updated terms will be posted on this page with a revised "Last Updated" date. Your continued use of our App after any changes constitutes acceptance of the modified terms. We encourage you to review these Terms periodically.
18. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement above, any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in North Carolina.
